Partial demerger of wholly and directly owned subsidiary

Milan, 18 September 2013. The Board of Directors, during the meeting held today, has approved, pursuant to article no. 2505 second paragraph of Italian Civil Code, the proposed demerger to Prysmian S.p.A. of part of the asset of Fibre Ottiche Sud – F.O.S. S.r.l., a sole shareholder company wholly and directly owned by Prysmian S.p.A. and subject to the direction and coordination of Prysmian S.p.A., as announced on 1^st August 2013.

As a result of the abovementioned demerger, Prysmian S.p.A. will become the direct owner of a property complex located in Milan, where the Prysmian Group's new head offices will be built.

The meeting’s minutes, as soon as filed with the Register of Companies of Milan, will be made available on the website of Borsa Italiana S.p.A. www.borsaitaliana.it, on the Company’s website www.prysmian.com and at the registered office of Prysmian S.p.A..
